This seminar will explore a wide range of issues relating
to Limited Liability Partnerships (LLPs) and their use as
a vehicle for conducting business. Amongst other things we
will examine:

these with the characteristics of other forms of traditional
partnership and limited companies |

when LLPs are most commonly used and when
they may not be appropriate |

the wide range of issues that should be
considered when transferring your business from a traditional
partnership to an LLP |

of LLPs |

the taxation of LLPs |
This seminar is aimed at members and senior employees of
LLPs and anyone considering using the LLP as a business structure
(whether upon starting a business or "converting"
an existing business from a general partnership to an LLP).
Speakers:
Mark
Howard
Mark is a member of the Corporate Finance Group and has
worked on a broad range of corporate finance transactions
with private and publicly quoted companies including many
with a cross border element. He advises on private acquisitions
and disposals, public takeovers, primary and secondary listings
(on AIM and the main market), joint ventures, private equity
investments and distressed asset sales. Mark gained valuable
in-house experience during a six month secondment to Cable
and Wireless plc.
Tarlochan Lall
Tarl is a member of the Corporate Tax Group specialising
in tax planning for corporate and property transactions. He
also advises on the design, creation and implementation of
employee share schemes, related tax, structuring and corporate
governance advice and their effect in connection with takeovers,
mergers and acquisitions. He is a Chartered Tax adviser (Fellow),
a member of the VAT Practitioners Group and the Share Scheme
Lawyers Group. Tarl is author of a chapter on Groups of Companies
in VAT Planning published by Tottel annually and
has written articles on, for example land transactions undertaken
by charities, VAT groups and on European Economic Interest
Groupings.
